1. Service Description

Drew is an AI-powered deal flow management platform designed for private equity professionals, independent sponsors, searchers, and business acquirers. Drew analyzes uploaded deal documents, extracts structured data, generates investment memos, scores deals, produces diligence checklists, and provides workflow tools for managing acquisition pipelines.

2. Account Creation and Responsibilities

To use Drew, you must create an account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Ensuring that all information you provide is accurate and current
• Notifying us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account. By creating an account, you represent that you have the authority to bind yourself or your organization to these Terms.

3. Acceptable Use

You agree to use Drew only for lawful business purposes. You may not:

• Upload documents you do not have the right to share or analyze
• Use the Service to violate any applicable law or regulation
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated scripts, bots, or scrapers to access the Service
• Interfere with or disrupt the integrity or performance of the Service
• Share your account credentials with unauthorized third parties
• Use the Service to transmit malware, viruses, or other harmful code

4. AI-Generated Content

4.1 AI Output Disclaimer

Drew uses artificial intelligence to analyze deal documents, generate investment memos, score deals, and produce diligence checklists. AI-generated content is provided for informational purposes only and should not be relied upon as the sole basis for any investment decision. All AI outputs should be independently verified by qualified professionals. Drew does not provide investment advice, legal advice, tax advice, or any professional advisory services.

4.2 Accuracy Limitation

While Drew strives for accuracy in document extraction and analysis, AI systems may produce errors, omissions, or inaccurate interpretations. Users are responsible for verifying all extracted data, financial figures, and analytical conclusions against original source documents.

4.3 No Investment Advice

Nothing in Drew's output constitutes a recommendation to buy, sell, or hold any security or business interest. Deal quality scores, thesis fit scores, and AI recommendations reflect algorithmic assessments based on extracted data and should not be interpreted as professional investment advice.

5. Document Handling and Confidentiality

5.1 Document Processing

Drew processes uploaded documents using AI models provided by Anthropic (Claude). Document content is sent to Anthropic's API for processing. Drew does not sell, share, or distribute uploaded document content to any third party other than for the purpose of AI processing. Anthropic's data retention policies apply to content processed through their API.

5.2 Data Retention

Uploaded documents and extracted data are stored as long as your account is active. Upon account deletion, all associated documents, extracted data, and analysis history will be permanently deleted within 30 days. You may request immediate deletion of specific deals or documents at any time through the application.

5.3 Data Security

Drew uses industry-standard security measures including encrypted data transmission (TLS), encrypted storage, session-based authentication, and access controls. However, no system is completely secure, and Drew cannot guarantee absolute security of uploaded documents.

6. Payment Terms

Drew offers free and paid subscription plans. Paid plans are billed through Stripe on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

• Subscriptions automatically renew unless cancelled before the end of the billing period
• You may cancel your subscription at any time through your account settings
• Refunds are handled on a case-by-case basis at our discretion
• We reserve the right to change pricing with 30 days' notice to existing subscribers
• Failure to pay may result in suspension or termination of your account

7. Usage Limits

Each subscription tier includes a defined number of deal analyses, enrichment credits, and monitoring checks per month. Drew reserves the right to throttle or suspend accounts that exceed their plan limits or engage in abusive usage patterns. Fair use policies apply to monitoring and enrichment features.

8. Intellectual Property

8.1 Your Content

You retain all ownership rights to documents and data you upload to Drew. By uploading content, you grant Drew a limited, non-exclusive license to process your documents solely for the purpose of providing the Service.

8.2 Drew's IP

The Drew platform, including its software, design, features, AI models, prompts, scoring algorithms, and branding, is the intellectual property of Yoohoo Inc. You may not copy, modify, or distribute any part of the Service without our prior written consent.

8.3 AI-Generated Outputs

Drew retains ownership of AI-generated analysis, memos, scores, and other outputs produced by the Service. However, you are granted a perpetual, non-exclusive license to use, copy, and distribute these outputs for your own business purposes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOOHOO INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

DREW'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO DREW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

YOU ACKNOWLEDGE THAT DREW PROVIDES AI-GENERATED ANALYSIS AND THAT INVESTMENT DECISIONS BASED ON SUCH ANALYSIS ARE MADE AT YOUR OWN RISK. DREW IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR FINANCIAL INSTITUTION.

10. Indemnification

You agree to indemnify and hold harmless Yoohoo Inc. from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in conduct that we determine is harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our data retention policy (within 30 days of account deletion).

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

Before initiating any legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at support@getdrew.ai. We will attempt to resolve the dispute within 30 days.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yoohoo Inc.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
